We opened a legal entity in Russia for a client living abroad
A client recently approached us about opening a limited liability company in Moscow. One distinguishing feature is that the client is already the owner of businesses that offer Internet marketing services. His companies operate successfully not only in Russia, but also in Kazakhstan and Cyprus. This enables him to attract potential customers from various countries. As a result, one aspect of the company's formation was the need to establish a legal entity within a group of companies that are well-known not only in Russia, but also in other countries, as the founder spends the majority of his time abroad.
Our client's group of companies has an annual turnover of more than half a billion rubles. This impressive turnover is due to the high demand for Internet marketing services today. Internet marketing, also known as CPA marketing, enables you to reach your product's target audience and identify potential buyers. The main advantage of CPA marketing is that the advertiser pays for results rather than impressions or clicks. Furthermore, there has recently been a significant shift of business to an online format. Today, various retail goods are sold online, and delivery is widely used. Additionally, various courses are offered. And, since CPA marketing is one of the most reliable advertising models, it is safe to assume that it will continue to evolve.
One of the features of forming a company within a group of companies is compliance with the map of registering authorities, which states that the requirements for registering tax authorities vary by region of the country. Some tax authorities, such as Kaliningrad's registering tax office, are required to conduct interviews with the company's founder. And, because our client spends the majority of his time abroad, we needed to complete the opening procedure as quickly as possible without calling the founder to the tax office for an interview; thus, we chose a tax registration office in Moscow.
When establishing companies within a group, it is critical to consider the requirements of each registering tax office. Because our client was only in Moscow for a short period of time and did not have time to wait for a call from the tax office for an interview, we decided to submit documents to open the company through a notary who was geographically closest to the founder. We quickly prepared the necessary package of documents to open a company, coordinated the opening with a notary in Moscow, and provided him with the package of documents. The list of documents for opening a company through a notary is standard: application for state registration in form P11001, decision to create, charter of a limited liability company. (Article 9 of the Federal Law “On State Registration of Legal Entities and Individual Entrepreneurs” dated 08.08.2001 N 129-FZ).
In our case, a notary sent the documents to the tax office. This is done within the framework of a single notarial action, immediately following the notarization of the authenticity of the applicant's signature, because everything needed to be done as soon as possible. It is important to note that when submitting documents through a notary, no state fee is charged; only the notary's actions are paid. Within five working days, the Moscow registration tax office decided to register the limited liability company.
To open a company in a group of companies, it is necessary to consider the map of the registering authorities, as the requirements of the registering tax authorities may differ depending on the region. It is also necessary to select a convenient and quick way to provide documents directly to the tax office for the founder (in person to the registration authority, through a notary, using an electronic signature, through the MFC).
